1. Entire Agreement
These Terms govern all quotations, orders, sales and deliveries. Any conflicting or additional terms proposed by Buyer shall not apply unless expressly accepted in writing by Baccara.
2. Prices
Prices are subject to change prior to shipment unless otherwise agreed in writing. Quantity discounts apply only to the specific quantities ordered and may be adjusted if quantities are reduced or cancelled.
3. Taxes
All prices exclude VAT, sales taxes, customs duties and other governmental charges. Buyer is responsible for all applicable taxes and fees.
4. Payment
Unless otherwise agreed, payment is due within 30 days from invoice date. Late payments may incur interest and collection costs. Baccara may suspend deliveries or require advance payment if Buyer fails to meet payment obligations. If shipment is postponed at Buyer’s request, Buyer shall reimburse reasonable storage and related costs.
5. Delivery, Packing and Shipment
Delivery dates are estimates only. Standard industrial packaging is included unless otherwise agreed. Risk of loss transfers to Buyer upon delivery to the carrier. Claims for shortages or transport damage must be reported promptly.
6. Inspection and Acceptance
Buyer shall inspect products upon receipt and notify Baccara in writing of any defects, shortages or nonconformities within 30 days. Returned goods require prior authorization from Baccara.
7. Limited Warranty
Baccara warrants that products are free from defects in materials and workmanship under normal use. Warranty coverage extends for 12 months from installation or 18 months from shipment, whichever occurs first. Baccara may repair, replace or credit defective products at its discretion.
8. Warranty Exclusions
The warranty does not cover misuse, neglect, improper installation, unauthorized modifications, accidents, normal wear, or products repaired by unauthorized parties. Third-party components are covered only by their original manufacturer warranties.
9. Product Modifications and Buyer Changes
Baccara may modify specifications provided form, fit and function are not materially affected. Changes requested by Buyer after order acceptance require written agreement by both parties.
10. Tooling and Intellectual Property
Unless otherwise agreed, all tooling, molds, fixtures, drawings, software, documentation, trademarks, patents and related intellectual property remain the exclusive property of Baccara.
11. Termination and Cancellation
Orders may be cancelled only with Baccara’s written consent. Buyer shall reimburse Baccara for completed work, work in progress, committed materials and reasonable cancellation costs.
12. Government and Regulatory Compliance
Buyer shall comply with all applicable laws, regulations, sanctions, import requirements and export control laws. Where legally applicable, Baccara shall comply with mandatory procurement requirements.
13. Export Orders
Buyer is responsible for obtaining required import permits, licenses and approvals. Delivery schedules may be affected by export or import restrictions. Additional costs resulting from regulatory delays may be charged to Buyer.
14. Limitation of Liability
Baccara shall not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profits, production, business opportunities or data. Baccara’s total liability shall not exceed the purchase price of the affected product.
15. Force Majeure
Baccara shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, pandemics, labor disputes, cyber incidents, transportation interruptions or supply chain disruptions.
16. Local Entities and Regional Terms
Baccara may operate through subsidiaries, distributors or authorized representatives. Local agreements may supersede these Terms for specific transactions.
17. Electronic Communications
Electronic communications, approvals and records shall have the same legal effect as written communications.
18. Governing Law and Jurisdiction
Unless otherwise agreed in writing, the sale of products shall be governed by the laws applicable in the country of the Baccara entity, subsidiary, affiliate, distributor, or authorized representative that issued the quotation, order confirmation, invoice, or otherwise sold the product to the Buyer.
Any dispute arising out of or relating to these Terms, the products, or the related transaction shall be subject to the exclusive jurisdiction of the competent courts in the country where the selling Baccara entity, subsidiary, affiliate, distributor, or authorized representative is located.
For products sold directly by Baccara Geva ACS Ltd., these Terms shall be governed by the laws of the State of Israel and subject to the exclusive jurisdiction of the competent courts of Israel.
19. Language
These Terms may be translated into multiple languages. In the event of any inconsistency, the English version shall prevail.
20. Non-Waiver
Failure by Baccara to enforce any provision shall not constitute a waiver of that provision or any other right.
